What is Company Secretary (CS)?

The Company Secretary (CS) course is a highly reputed certification by the Institute of Company Secretaries of India (ICSI). Institute of Company Secretaries of India (ICSI) is a premier national professional Institute established under an Act of Parliament.

A company secretary is a senior position in a private sector company or public sector organisation, normally in the form of a managerial position or above. The company secretary will deal with the legal activities of any type of business. The role of a company secretary is to take care of corporate governance, responsible for the administration of the organization, ensuring statutory & regulatory compliance, ensuring the implementation of the decisions of the board of directors of the company.

How many Levels are there in Company Secretary (CS) Course?

The Company Secretary (CS) course consists of three levels.

  • CS Foundation or CSEET ( which is applicable from Feb 3rd, 2020)
  • CS Executive
  • CS Professional

What is the eligibility criteria to study Company Secretary (CS) Course?

There are two options to pursue a Company Secretary (CS) course.

Old Scheme Foundation Program

If a person opts to pursue a Company Secretary (CS) course after 12th standard they can directly register for the CS Foundation course through Foundation Entry option.

Old Scheme Executive Program

If a person opts to pursue a Company Secretary (CS) courses after graduation or the students who cleared the Intermediate level of the Institute of Cost Accountants of India or The Institute of Company Secretaries of India. (ICSI), they can directly register for the Intermediate course through Direct Entry option.

New Scheme (applicable from Feb 3rd, 2020) – CS Executive Entrance Test (CSEET)

CS Executive Entrance Test (CSEET) is applicable after Feb 3rd 2020. If a person opts to pursue a Company Secretary (CS) courses after 12th standard or graduation/ postgraduate students are eligible to register CS Executive Entrance Test (CSEET). After clearing the CS Executive Entrance Test (CSEET) they can register for CS Executive.

CS Executive Entrance Test (CSEET) Exemption

Students who cleared the Final level of the Institute of Cost and Management Accountants of India (ICMAI) or The Institute of Chartered Accountants of India (ICAI) or. Company Secretaries Foundation Programme passed students can skip this level and directly register for CS Executive.

Old Scheme – Step by Step Process
  1. The first step is to clear the CS Foundation. minimum eligibility is 12th std.
  2. The second step is to enrol for the CS Executive. Students qualified in Final examination of Institute of Chartered Accountant of India (ICAI) or Institute of Cost and Management Accountants of India (ICMAI) or any other Accountancy Institution in India or abroad recognized as equivalent thereto by the Council or a Graduate Post Graduates (excluding Fine Arts) are eligible.
  3. The third step is to enrol for the CS Professional exams.  Any candidate can apply for this course after qualifying the CS Executive course
  4. The fourth step is to Acquire the Company Secretary (CS) Membership. There are two membership statuses provided by the Institute of Company Secretaries of India (ICSI) to such candidates.
    1. One is the Associate Membership and the other,
    2. Fellow Membership
  5. A candidate who has passed the Professional level of the ICSI program can apply for enrolling himself as an Associate Company Secretary (ACS) and a person who has gained sufficient experience as a professional CS and has been an Associate Company Secretary (ACS) for at least 5 years can become Fellow Company Secretary (FCS).
New Scheme – Step by Step Process
  1. The first step is to clear the CS Executive Entrance Test (CSEET). The minimum eligibility is 12th std or graduation/ postgraduate students are eligible to register CS Executive Entrance Test (CSEET). After clearing the CS Executive Entrance Test (CSEET) they can register for CS Executive.
  2. The second step is to enrol for the CS Executive and clear the exams. Students qualified in CS Foundation or Final examination of Institute of Chartered Accountant of India (ICAI) or Institute of Cost and Management Accountants of India (ICMAI) or any other Accountancy Institution in India or abroad recognized as equivalent thereto by the Council or a Graduate Post Graduates (excluding Fine Arts) are eligible.
  3. The third step is to enrol for the CS Professional exams. Any candidate can apply for this course after qualifying the CS Executive course

What is the pass criteria for Company Secretary (CS) Course?

The Company Secretary (CS) Foundation, Executive and Professional level exams will be held in June and December every year. The course is not new but revised. Besides, the Foundation exam will be both descriptive and objective. Under the new scheme, a student must achieve 40% in all the subjects and 50% marks in aggregate.

The Company Secretary (CS) CS Executive Entrance Test (CSEET) level exams will be held in January, May, July and November every year. The course is not new but revised. The CSEET shall be an online Computer-based Test. CSEET will be a test of 200 marks comprising of MCQs, audio clips, video clips, and descriptive questions. An aggregate of 50% and minimum 40% marks in each subject will be the qualifying criteria.

What is the Registration Fees for Company Secretary (CS) Course?

The Fees mentioned below is the registration fees not coaching fees. The registration fees have to be paid to the Institute of Company Secretaries of India (ICSI). For more details about the fees visit www.icsi.edu.

CS Foundation Registration Fees

The total Registration fee for CS Foundation is Rs. 4,500.

CS Executive Entrance Test (CSEET) Registration Fees

The total Registration fee for CS Executive Entrance Test (CSEET) is Rs. 1,000 per appearance.

The Registration fee for CS Professional is Rs. 12,000 and Pre-Examination Test Fee Rs. 1,000. The total Registration fee for CS Professional is Rs. 13,000.

CS Foundation or CS Executive Entrance Test (CSEET) Registration Documents

These are the documents required for CA foundation Registration

  • Specimen Signature
  • 10th & 12th Pass Mark sheet – For 12th Passed Students
  • Category Certificate (for availing Fee Concession)
  • Identity proof(Aadhar card/passport/voter ID /pan card/driving license/ration card)

  • Foundation scheme students need to upload the same documents which were provided earlier for CS Foundation.

Company Secretary (CS) course is a highly reputed certification given by the Institute of Company Secretaries of India (ICSI).

Company secretary will deal with the legal activities of any type of  business. There are three levels. In the old scheme CS Foundation, CS Executive and CS Professional. In the new Scheme (wef. Feb 3rd, 2020) CSEET, CS Executive and CS Professional

Visit the in ICSI and click Register for CS Course under the online services menu.

Fees may vary depending on the level starts from CSEET - Rs. 1000
CS Foundation - Rs. 4500
CS Executive - Rs. 10600
CS Professional - Rs. 12000

After graduation you can skip the foundation level and enter the executive level. If you have registered after feb 2020. Then you have to do CSEET.

After 12th, Register your self in ICSI through old Scheme where CS Foundation will be the first level or new scheme (wef. Feb 3rd, 2020) where CS Foundation will be the first level .

CS Foundation and CSEET exams are conducted through online. Not all the exams

Company Secretary or Company Secretaryship

Once you registered in ICAI, the books will be sent to you through postal.

CS referes to Company Secretary or Company Secretaryship. A candidate who has passed the Professional level of the ICSI program can apply for enrolling himself as an Associate Company Secretary (ACS) and a person who has gained sufficient experience as a professional CS and has been an Associate Company Secretary (ACS) for at least 5 years can become Fellow Company Secretary (FCS).

First Step: Understand the Concept and practise all the questions and problems.
Second step: Workout past five years of question papers of CS.
Third step: Before appearing the exams, test yourself by writing some mock test papers.

Yes, CA Final and CMA Final passed students can do  Company Secretary (CS) Course. They can skip CS Foundation and CSEET Level and directly get into the CS Executive level

There are 21 subjects in 3 levels of CS Course.
CS Foundation - 4 Subjects or CSEET - 4 Subject
CS Executive  - Module 1 - 4 Subjects
CS Executive  - Module 2 - 4 Subjects
CS Professional - Module 1 - 3 Subjects
CS Professional - Module 2 - 3 Subjects
CS Professional - Module 3 - 3 Subjects

ICSI conducts the exams in June and December every year. The exams in 2020 might be delayed due to coronavirus lockdown.

For May exams, 31st Dec of the previous year is the last date for registration
For Nov exams, 30th June is the last date for registration.
